Scandi Standard Clears Final Condition for €127 Million Glenhaven Acquisition

Updated: 7 days ago
Scandi Standard has received competition clearance for its acquisition of Glenhaven Foods, removing the final outstanding condition from the transaction. The Swedish poultry group said on September 22 that completion is expected on or about October 9, 2026, turning the regulatory decision into the decisive development since the deal was announced in July.
The agreed enterprise value is €127 million. Scandi Standard said that valuation represents about 8.2 times Glenhaven's normalized 2025 operating profit, while the purchase price combines cash with an interest free vendor note equal to roughly one third of the consideration and payable within one year after completion.
Glenhaven, founded in 1986 and based in Arklow, County Wicklow, produces frozen breaded poultry for retail, foodservice and quick service restaurant customers in Ireland and the United Kingdom. The business employs about 190 people and has recently invested in manufacturing capacity, giving the buyer room to pursue growth without immediately building an entirely new platform.
The strategic logic is geographic as well as operational. Scandi Standard already owns Manor Farm in Ireland, primarily associated with fresh chicken, while Glenhaven adds frozen value added products and established access to UK customers. Management describes that access as a bridgehead into a market where the group has had little material activity.
Financing combines proceeds from a rights issue of approximately SEK 408 million with available credit facilities. The rights issue was fully subscribed, and Scandi Standard says the acquisition should increase earnings per share by more than 10 percent on a pro forma 2025 basis after accounting for dilution and additional financing costs.
Those earnings expectations remain company projections rather than realized results. The investment case will depend on retaining Glenhaven customers, using available capacity, integrating procurement and distribution with Manor Farm, and managing input, energy and labor costs across a frozen poultry operation.
Scandi Standard employs more than 3,600 people and reports annual sales above SEK 14 billion. Glenhaven is smaller, but its product format and customer base extend the group further into ready to eat and value added poultry, categories that can support higher processing margins than undifferentiated fresh commodity products.
For the wider food industry, the transaction shows how established processors are buying specialized capacity and market access rather than relying only on greenfield expansion. The next meaningful milestones are formal completion, disclosure of integration priorities and evidence that the UK platform converts unused capacity into durable sales growth.
