
ScottsMiracle Gro Moves to Acquire Black Kow Soil Brand

The Scotts Miracle Gro Company plans to acquire the Black Kow brand after exercising a purchase option held under an existing licensing agreement. The company announced the planned transaction on September 3, 2026.
Scotts became the exclusive producer, distributor and marketer of Black Kow in January 2026. It has now informed Organics Management, the current brand owner, that it is exercising the option to purchase.
The transaction is expected to close in October 2026. Financial terms were not disclosed, so the announcement does not provide a purchase price or enough information to calculate a transaction value.
Black Kow is an established soil amendment brand with products including composted cow manure, mature manure and specialty soils. Scotts says the range will complement its existing Miracle Gro ready to use products.
The buyer plans to expand Black Kow’s national availability and develop the brand through product innovation. Scotts is positioning the acquisition as a smaller addition that can be integrated into its core lawn and garden business.
Management expects the brand to contribute to sales while remaining consistent with the margin profile set under the company’s current growth plan. The company also said it expects the transaction to add to earnings per share in the first year after closing.
Those expectations are company forecasts rather than completed results. The acquisition has not yet closed, and its eventual performance will depend on distribution expansion, customer demand and successful integration.
Scotts reported approximately 3.3 billion dollars in company sales and markets consumer lawn and garden brands including Scotts, Miracle Gro, Ortho and Tomcat. The Black Kow deal would broaden its portfolio in organic soil amendments and mature manure.
